BOSSIER PARISH REPUBLICAN EXECUTIVE COMMITTEE BY-LAWS SECTION I: AUTHORITY The Parish Executive Committee (PEC) is established as the official body of the Republican Party under Louisiana Revised Statutes and other applicable Louisiana laws. SECTION II: MEMBERSHIP Members of the Parish Executive Committee (PEC) shall be elected every four (4) years at the same time as the presidential preference primary election. Anyone seeking election or appointment to the Bossier PEC shall satisfy the requirements as set for the in Louisiana Revised Statutes and other applicable Louisiana laws. A. Be a resident within the appropriate district for which he/she seeks election or appointment for a period of at least six (6) months prior to the date of the election or appointment. B. Have been a registered Republican voter for at least six (6) months prior to the date of the election or appointment to the Bossier PEC. C. Pay such qualifying fees as are established by the Louisiana Revised Statutes and the PEC, unless qualifying by petition. D. Be sworn in after election or appointment. SECTION III: OFFICERS A. Offices There shall be four (4) executive officers of the PEC: Chairman, Vice-Chairman, Secretary and Treasurer. The four (4) executive officers will be known as the Executive Committee. B. Election of Officers Within 40 days of their election to the PEC, the elected members shall meet at the parish courthouse, and shall elect from their members, persons to fill each of the four (4) executive offices of the PEC. Election to the PEC office shall require a majority of the votes cast by the newly-elected members of the PEC, which shall constitute a quorum for the purpose of organizing and filling vacancies. Persons elected shall assume office immediately upon their election. C. Term The persons elected shall hold office for one (1) year. It shall be the duty of the Chairman to call a meeting of the PEC every April for the purpose of holding office elections. Any incumbent officer may succeed himself or herself for re-election for unlimited terms. Any executive officer of the Bossier PEC may be removed from his or her office, and the office be declared vacant, by a vote of two thirds (2/3) of the total membership of the PEC. D. Officer Vacancies If a vacancy should occur in any of the offices of Vice-Chairman, Secretary or Treasurer, the Chairman shall immediately appoint a member of the PEC to fill such office until a special election can be held to fill the vacancy. Within 30 days after the occurrence of a vacancy in any office of the PEC, the Chairman shall give notice to all members that a meeting shall be held to fill the vacancy. The meeting shall be held not less than 30 days or more than 60 days after the occurrence of the vacancy. Election to fill the vacant office shall require a majority of the votes cast. If a vacancy shall occur in the office of Chairman, the Vice-Chairman shall immediately assume the office of Chairman until a special election can be held to fill the vacancy. Upon assuming the office of Chairman, the Vice-Chairman shall institute the procedure set forth in the above paragraph. E. Officer Duties The duties of all officers shall be as set forth in these by-laws and by the State Central Committee: Chairman - The Chairman of the PEC in addition to exercising the usual, customary, and legal duties of the office shall chair and conduct meetings of the PEC, appoint chairmen to such committees as the PEC deems necessary and proper, appoint a parliamentarian and legal counsel, and appoint a standing committee charged with the responsibility of investigating the legal qualifications of candidates for the office of PEC and SCC members from Bossier Parish, and all candidates for public office in Bossier Parish. The Chairman shall have further and other powers including, but not limited to service upon the Board of Election Supervisors of Bossier Parish. Vice-Chairman - the Vice-Chairman shall act as Chairman and temporary presiding officer at such PEC meetings as have been propertly noticed, scheduled and/or called and at which the Chairman is absent or otherwise unable to chair said meeting. The Vice-Chairman shall further perform such reasonable tasks and duties assigned by the Chairman or the PEC. Secretary - The Secretary shall keep due and proper records and minutes of the activities and correspondence of the PEC. The Secretary shall prepare and read the minutes of each meeting at the next meeting of the PEC. The Secretary shall send the appropriate written notice as required by these by-laws to PEC members notifying them of all regularly scheduled and specially called meetings of the PEC. The Secretary shall provide all newly-elected members a copy of these by-laws, as amended, and a roster of PEC members. The Secretary shall perform such other reasonable tasks as may be assigned by the Chairman or the PEC. Treasurer - It shall be the duty of the Treasurer to keep and maintain all financial records and conduct all financial transactions of the PEC. The Treasurer shall account for all monies in the care, control, custody or possession of the PEC, and shall prepare and read a financial statement at each regularly scheduled meeting of the PEC. An annual budget shall be prepared by the Treasurer for submission to the PEC for its approval. Any expenditure, not authorized in the budget, must be approved by the Executive Committee of the PEC. The Treasurer and Chairman shall cosign all checks of the PEC. The Treasurer shall perform such other reasonable tasks as may be assigned by the Chairman or the PEC. SECTION IV: MEETINGS A. The Chairman shall schedule meetings of the PEC at least every three (3) months, and is authorized to call such additional meetings as shall be necessary or desirable. B. Meetings shall only be called with at least 10 days advanced written notice by either mail, at the addresses appearing in the official records, or e-mail to all members of the PEC. C. Meetings shall be held at a place and time of reasonable convenience in Bossier Parish. D. A Quorum shall exist when a majority of the PEC is present at a meeting in person. If a quorum is found not to exist, the PEC shall not conduct business. E. A member of the PEC may vote by written proxy subject to the following conditions:
F. Any member or group of members desiring to have a meeting of the PEC may petition the Chairman to call a meeting. Upon presentation to the Chairman of a petition bearing signatures of at least one-fourth (1/4) of the members of the PEC, the Chairman shall within three (3) days call a meeting of the PEC. Such meetings shall be held not later than 21 days after the presentation of the petition to the Chairman and shall comply with the notice provisions of these by-laws. G. Should the Chairman fail or refuse to call such meeting as demanded by the petition, the member or members may call a meeting of the PEC by themselves by complying with the notice provision of these by-laws. Such notice, sent 10 days prior to the date of meeting, shall specifically inform each member of the date, time, place, and purpose of such meeting and shall be accompanied by a copy of the petition demanding that it be convened. SECTION V: PEC VACANCIES AND REMOVALS A vacancy occurs in the membership of the PEC when a member dies, resigns, is convicted of a felony, or no longer meets the qualifications for membership on the PEC, or no personal qualified was elected to succeed a member whose four (4) year term has expired. A vacancy in a district shall be filled by any qualified resident of the district appointed by the PEC, in accordance with Section II of these by-laws. SECTION VI: PROCEDURAL RULES A. Roberts Rules: Except where inconsistent with these by-laws, the meeting and proceedings of the PEC shall be conducted in accordance with the Robert's Rules of Order adopted by the SCC. B. Suspension of Rules: Application of Robert's Rules of Order may be suspended for a particular or specified purpose upon a motion approved by two-thirds (2/3) vote of the members present and voting at a meeting of the PEC. SECTION VII: AMENDMENT These by-laws may be amended upon a vote of two thirds (2/3) of those members present and voting at a meeting of the PEC, provided that the required 10 day notice of the meeting shall include notification that amendment of those particular rules shall be considered at such meeting. SECTION VII: FILING Upon adoption of these by-laws and any amendments thereto, said by-laws and/or amendments shall be filed with the Bossier Parish Clerk of Court, the Louisiana Secretary of State and the Republican Party of Louisiana.
